1. Acceptance of Terms

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Client," "you") and Rajratna Infotech ("we," "us," or "our").

By accessing our website (rajratnainfotech.com), requesting a proposal, hiring our development or IT services, or signing a Statement of Work (SOW), you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Scope of Services & Project Proposals

Rajratna Infotech provides end-to-end technology solutions, including custom web development, e-commerce stores, web hosting, AI automation, search engine optimization (SEO), and IT consulting.

• Project Proposals: Every custom project is governed by an agreed proposal or scope document specifying deliverables, timelines, milestones, and cost.
• Scope Alterations: Any modifications, feature expansions, or changes requested outside the approved initial scope will be treated as a "Change Request" and billed separately based on estimated development hours.

3. Client Responsibilities & Deliverables

To ensure timely and successful delivery of projects, the Client agrees to:

• Provide all necessary content, text copy, branding assets, logos, and high-resolution images in a timely manner.
• Provide required server, domain, payment gateway, or API access credentials needed for implementation.
• Review deliverables and provide constructive feedback/approvals within 5–7 business days of milestone submissions.
• Ensure that all materials provided do not infringe on any third-party copyrights or trademarks.

4. Payments, Milestones & Invoicing

Our pricing is transparent with no hidden costs. Payment schedules are established as follows:

• Milestone Payments: Standard projects are structured on milestone-based deposits (e.g., initial advance deposit to start, intermediate design/development milestones, and final balance prior to final deployment).
• Invoicing: Invoices are issued in Indian Rupees (INR) for domestic clients and USD/equivalent for international clients. Payments can be settled via UPI, Bank Transfer (NEFT/RTGS/IMPS), or Cards.
• Late Payments: Overdue invoices may lead to a temporary pause in ongoing development, staging server access, or support services until dues are settled.

5. Intellectual Property Rights

Client Ownership: Upon full and final settlement of all project invoices, 100% intellectual property rights and full source code ownership of the custom-developed website/software are assigned to the Client.

Background Tools & Open Source: Open-source libraries, frameworks (e.g., WordPress, React, Laravel), and proprietary helper modules developed by Rajratna Infotech remain subject to their respective open-source licenses or retained rights.

Portfolio Showcase: Unless explicitly restricted by an NDA, Rajratna Infotech reserves the right to showcase the completed project, logo, and public link in our design portfolio and case studies.

6. Web Hosting, SLAs & Maintenance

• Hosting Uptime: For clients utilizing our managed hosting servers, we strive to deliver 99.9% network uptime, excluding scheduled maintenance windows.
• Post-Launch Warranty: We provide a complimentary 30-day bug-fix and stabilization warranty following website launch for any defects arising strictly from our delivered scope.
• Ongoing Maintenance: Long-term version upgrades, security patches, plugin updates, and regular content changes require an active Annual Maintenance Contract (AMC).

7. Limitation of Liability & Third-Party APIs

Rajratna Infotech shall not be liable for any indirect, incidental, special, or consequential damages resulting from:

• Outages or policy changes caused by third-party services (e.g., Google, Meta, WhatsApp, payment gateways, or external cloud hosts).
• Loss of data, security compromises, or website malfunctions caused by unauthorized third-party modifications, malicious cyber-attacks, or forgotten passwords.
• Business downtime or lost revenue exceeding the total fees paid by the client for the specific service under dispute.

8. Cancellation & Termination Policy

Either party may terminate a project agreement with written notice if the other party breaches material terms and fails to remedy the breach within 14 days.

• If the Client cancels a project midway, payment is due for all hours worked and milestones completed up to the cancellation date. Advance discovery/setup deposits are non-refundable.
• All project deliverables completed up to the date of cancellation will be handed over to the Client upon settlement of accrued dues.

9. Governing Law & Dispute Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. In the event of any dispute arising out of or in connection with our services, both parties agree to first attempt resolution through good-faith mutual negotiations. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts in Akola, Maharashtra, India.
